TERMS OF USE

These Terms of Use ("Terms") govern your access and use, either as a Subscriber or a PAYG User, of the website, product(s), service(s), portal(s), mobile site(s) and/or application (collectively, "Sites") operated or provided by One Future Solutions Sdn. Bhd ("One Credit Malaysia", "we", us," or "our"). By accessing or using the Sites, you agree to comply with and be bound by these Terms. If you do not agree, you should discontinue accessing the Sites. PAYG User shall not use PAYG Services without accepting these Terms.
1. DEFINITION
1.1 Under these Terms, the terms credit information, processing, customer shall have the meanings given to them in the Credit Reporting Agencies Act 2010 ("Act").
1.2 Subscriber: A user who has purchased a subscription with One Credit Malaysia, granting access to all available features of the Sites. Subscribers may also purchase additional services on a pay-as-you-go basis, which will be invoiced at the end of the billing cycle. Subscribers will enter into a subscriber agreement with One Credit Malaysia governing their subscription terms.
1.3 Pay-As-You-Go (PAYG) User: A user who has created an account but does not have a subscription with One Credit Malaysia. PAYG Users purchase services individually as needed and are charged at checkout ("PAYG Services"). PAYG User's use of PAYG Services provided by One Credit Malaysia shall be governed by these Terms.
2. ACCESS TO SERVICE
2.1 In order to access the services provided by One Credit Malaysia either as a Subscriber or a PAYG User, you are required to register for an account with us. If you choose to register for an account, you agree to provide and maintain true, accurate, current and complete information about yourself as prompted by the Sites' registration form.
2.2 You are solely responsible for the security and integrity of your account credentials and for all activities that occur under your account. You agree not to share your account credentials with any person or permit any third party to access or use your account. Unauthorized use or sharing of account access is strictly prohibited. This may result in suspension or termination of your account, without any compensation and notice, in the event we determine that such unauthorized use or account sharing has occurred. You agree to promptly notify us of any actual or suspected unauthorized use of your account.
2.3 One Credit Malaysia reserves the right to suspend or terminate your account if we determine that you have violated these Terms.
2.4 One Credit Malaysia reserves the right at any time to delete, change or modify any aspect or feature of the Sites or PAYG Services, or the terms and conditions applicable to the use of the Sites or PAYG Services, or any part thereof, or to impose new conditions, including, but not limited to, adding fees and charges for use.
2.5 You may be able to access the option to purchase products and/or services through specific sections of the Sites or other websites operated by One Credit Malaysia that are linked to the Sites. Unless otherwise provided herein, the purchase and use of these products and/or services will be governed by separate terms and conditions, and may require you to register with either us or a third party. These Terms, where applicable, should be read together with such separate terms and conditions.
3. PROVISION OF PAYG SERVICES
3.1 Where One Credit Malaysia collects credit information directly or indirectly from the customer for disclosure to PAYG User, One Credit Malaysia shall inform the customer of the purposes for which One Credit Malaysia is collecting the credit information and the purposes for which the credit information will be further processed.
3.2 One Credit Malaysia shall take reasonable steps to ensure the credit Information is accurate, up-to-date, complete, relevant, and not misleading before the credit information is disclosed to PAYG User.
3.3 One Credit Malaysia shall update as soon as reasonably practicable and to the extent possible, any credit information previously disclosed to PAYG User and to ensure that the credit information remains accurate, up-to-date, complete, relevant, and not misleading. This clause is, however, subject to where such updates are made available to One Credit Malaysia by the customer.
3.4 Notwithstanding anything herein contained, One Credit Malaysia does not, in any form, provide or imply any opinions or advice, nor does it warrant or guarantee the timeliness, completeness, accuracy, truth, or correctness of PAYG Services and any information provided (including information sourced from third party database or the Subscribers). One Credit Malaysia shall not be liable for any conclusions drawn, or any decisions, actions, or omissions taken by PAYG User based on PAYG Services provided.
3.5 One Credit Malaysia may at its sole discretion and without any compensation or notice to PAYG User to suspend temporarily or permanently or disallow access or use of PAYG Services.
4. PAYG USER'S OBLIGATIONS
4.1 PAYG Users must pay for PAYG Services at the time of purchase via Sites's payment channel. All PAYG Services purchases are final and non-refundable.
4.2 PAYG User hereby warrants and/or undertakes that it shall use the PAYG Services for the following purposes only, provided that such use complies with the Act and serves a legitimate interest. Specifically, PAYG User warrants and/or undertakes it shall only use the PAYG Services for any one or more of the following purposes:
(a) pre-screening a prospective client/customer/supplier/contractor/employment;
(b) opening of account;
(c) credit evaluation, scoring, review, and monitoring;
(d) debt recovery;
(e) guarantor, employment, and tenant or landlord evaluation, scoring, review, and monitoring;
(f) legal documentation consequent to a contract or facility granted; and
(g) any other purpose(s) permitted under the laws of Malaysia.
4.3 Where applicable, PAYG User shall obtain or procure written permission or consent from each and every customer, in a form and manner as may be prescribed by One Credit Malaysia, to disclose the credit information relating to such customer to PAYG User. For these instances or services so affected, the failure of the customer to provide such consent to One Credit Malaysia shall not be deemed by the PAYG User to be an event of default, non-performance, or breach of these Terms on the part of One Credit Malaysia. Upon One Credit Malaysia's request, PAYG User shall provide One Credit Malaysia a copy of the written permission or consent obtained from the customer in a manner prescribed by One Credit Malaysia.
4.4 PAYG User undertakes that it shall take all necessary steps to maintain the utmost security and confidentiality of credit information obtained or communicated, documents prepared and records kept, whether obtained from One Credit Malaysia or otherwise, and any other matter undertaken in connection with the PAYG Services, at all times, including after the termination of the PAYG Services.
4.5 PAYG User undertakes that it shall take such steps that are necessary to ensure that its employees, agents or any other person that may have access to the confidential credit information do not disclose or use the same other than in accordance with these Terms, except as required by law.
4.6 PAYG User shall promptly cooperate with One Credit Malaysia in its efforts to investigate and resolve complaints and correction requests of credit information.
4.7 PAYG User shall in order to safeguard the credit information held by it against unauthorized or improper access, use, modification or disclosure take appropriate measures, including the following:
(a) to develop written policies and procedures to be followed by its employees, agents and contractors;
(b) to establish controls, including:
(i) the use of passwords, credential tokens, digital signatures or other mechanisms; and
(ii) user identification;
(c) to provide information and training to ensure compliance with the policies, procedures and controls;
(d) to monitor usage and regularly check compliance with the policies, procedures and controls;
(e) to take appropriate action in relation to identified breaches of the policies, procedures and controls; and
(f) to maintain logs of all accesses, amendments and audit trails to the credit information provided to it by One Credit Malaysia.
4.8 PAYG User shall observe and comply with any guidelines, circulars, instructions, notices, or directions as may be issued by One Credit Malaysia in respect of PAYG Services from time to time, and which One Credit Malaysia may, at its sole discretion, issue further variations, revisions, modifications, and amendments.
4.9 PAYG User shall not or attempt to modify, adapt, translate, reverse engineer, decompile, disassemble or attempt to discover the source code of the software used to operate PAYG Services and/or the website or operating platform of PAYG Services.
5. GENERAL TERMS
5.1 One Credit Malaysia and/or its licensors (as the case may be) are the sole and exclusive owners of all intellectual property rights in all the materials and content contained in the Sites, the software and products available for download from the Sites including but not limited to trademarks, trade names, logos, copyright and database right. No part of these material and content may be copied, distributed, reproduced, published or used without One Credit Malaysia's prior written consent.
5.2 The Sites are offered to you on an "as-is" and an "as available" basis. This means we provide it to you without any express or implied warranties of any kind. That includes any implied warranties of merchantability, warranties of fitness for a particular purpose, non-infringement, or any warranty that the use of the Sites will be uninterrupted or error-free.
5.3 We do not warrant or represent that the Sites will be free from viruses, malware or other harmful components. You are solely responsible for any damage to your computer that results from you downloading any of the contents and materials.
5.4 We do not guarantee uninterrupted access to the Sites and PAYG Services (as the case may be). Due to the nature of the internet, any transactions under the Sites and PAYG Services may be subject to interruption, transmission blackout, delayed transmission and incorrect data transmission. One Credit Malaysia is not liable for malfunctions in communications facilities whether under its control or otherwise that may affect the accuracy and timeliness of messages and transactions.
5.5 The Sites may contain links or references to products, materials or web sites that are provided by the independent third parties. One Credit Malaysia makes no warranties or representations with respect to, and shall not be deemed to endorse, recommend, approve, any third parties, their products and services, or the services/products that they provide on their web sites. In the event you choose to use links displayed on the Sites to visit third parties' web sites, you are advised to read the terms of use and privacy and security policies published on those web sites. Any complaints that a Subscriber or PAYG User has in respect of the independent third parties' products, materials, or web sites must be taken up with the relevant independent third party.
5.6 We may terminate, suspend and/or block your access to and/or use of the Sites or PAYG Services (as the case may be) at any time for any reason whatsoever. You will no longer have any access to and/or use of the Sites or PAYG Services immediately upon suspension or termination.
6. LIMITATION OF LIABILITY
6.1 One Credit Malaysia shall not be responsible for any losses, claims, actions, proceedings, damages, costs, expenses, or liabilities arising in any way from your access to, use of, inability to access, or inability to use the Sites or PAYG Services, or any part thereof, for any reason, nor for your use of, or reliance on, any content contained therein.
6.2 One Credit Malaysia shall not be liable to you (whether in contract, negligence, for breach of statutory duty or under indemnity or otherwise and notwithstanding any notice of the possibility of such loss) for any indirect or consequential loss; pure economic loss, including loss of profits; loss of earnings; loss of business or goodwill; or anticipated or incidental loss: including loss of anticipated savings; increase in bad debt; failure to reduce bad debt.
6.3 Without prejudice to Clauses 6.1 and 6.2 above, in no event shall the aggregate liability of One Credit Malaysia under these Terms, exceed RM[ ] the fees paid or payable by you during the twelve (12) months immediately preceding the occurrence of the liability.
7. INDEMNITY
7.1 You agree to indemnify, defend, and hold harmless One Credit Malaysia, its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with:
(a) your violation of these Terms;
(b) your use or misuse of, or inability to access to, the Sites or the PAYG Services (as the case may be);
(c) any breach of applicable laws or regulations; and/or
(d) any third-party claims arising from your actions on the Sites or the PAYG Services (as the case may be).
8. EVENTS BEYOND ONE CREDIT MALAYSIA'S CONTROL
8.1 You expressly absolve and release One Credit Malaysia from any claim resulting from a cause beyond our control, including but not limited to, the failure of electronic or mechanical equipment or communications lines, telephones or other interconnect problems, operator errors, severe weather, earthquakes, natural disasters, strikes or other labour problems and governmental restrictions.
9. CHANGES TO SITES AND TERMS
9.1 We reserve the right to update, modify or change any aspect or feature of the Sites, or these Terms at any time. Such updates, modifications or changes shall be effective immediately. Notice may be given to you by means of, including but not limited to, posting on the Sites or by electronic mail or by any other means. Continued use of the Sites and/or PAYG Services after changes take effect constitutes acceptance of the revised Terms.
10. PRIVACY
10.1 We view and treat your privacy very seriously. In the course of you using the Sites and/or PAYG Services (as the case may be), we may collect and use information about you in accordance with our personal data protection notice. 11. OTHERS
11.1 These Terms shall be governed, enforced and interpreted in accordance with the laws and regulations of Malaysia, and parties irrevocably submit to the jurisdiction of the courts of Malaysia to hear and determine any dispute or differences out of and/or in connection to these Terms.
11.2 If any term in these Terms is or becomes invalid, illegal or unenforceable in any respect under the applicable laws, the validity, legality and enforceability of other terms shall not be affected or impaired in any way.
